Data room
A secure online space where a seller shares documents with bidders during a deal review.
What it means
A data room holds the files for a transaction, such as contracts, financial statements, intellectual property records and employee agreements. Access is controlled by the seller, often by folder and by user, and activity logs show who opened what. Buyers review the room during due diligence.
Research tools connected to a data room can search those files and draft summaries, which saves time on long document sets. Before connecting one, confirm the tool respects the room's permissions, keeps uploads out of shared model training, and records who ran each query. Where the deal terms require it, ask the seller for consent first. Keep a record of which documents an AI tool read, so the deal team can show what was and was not reviewed.
